Description

Our client, a respected firm in Toronto, is seeking an IP/IT Lawyer with 10+ years of experience to join its growing intellectual property, technology, and commercial law practice. This opportunity is ideal for a lawyer with strong experience in intellectual property and information technology law, including licensing, software and SaaS agreements, technology transactions, commercialization, data and privacy matters, cybersecurity-adjacent advisory work, brand protection, and IP-driven commercial arrangements.

The successful candidate will advise a broad range of technology companies, innovators, software providers, founders, growth-stage businesses, institutional clients, and commercial organizations on transactional, operational, and strategic legal matters. This role is well suited to a lawyer who is confident managing sophisticated files, maintaining strong client relationships, and delivering practical, business-focused legal advice in a fast-paced private practice environment.

Responsibilities
  • Advise clients on a broad range of IP and IT law matters, including software licensing, SaaS agreements, commercialization, data use, privacy, brand protection, and technology-driven commercial transactions
  • Draft, review, and negotiate intellectual property and technology agreements, including licensing agreements, assignment agreements, SaaS agreements, master services agreements, implementation agreements, confidentiality agreements, and related commercial contracts
  • Provide strategic legal advice on intellectual property protection, commercialization strategy, data governance, privacy compliance, cybersecurity-adjacent issues, and regulatory risk
  • Support clients with technology procurement, vendor arrangements, platform agreements, software development matters, trademark and copyright strategy, and digital business operations
  • Manage files from opening through closing, including timelines, client communication, legal drafting, negotiation strategy, and coordination with internal and external stakeholders
  • Work collaboratively with founders, executives, product teams, in-house stakeholders, and other legal professionals on complex IP and technology matters
Qualifications
  • Called to the Bar in Ontario and in good standing with the Law Society of Ontario
  • Minimum 10 years of experience practicing in intellectual property law, technology law, commercial law, privacy law, or related business law matters
  • Strong drafting and negotiation experience with licensing agreements, SaaS agreements, technology contracts, commercialization documents, and IP-related commercial agreements
  • Experience advising on software, SaaS, data privacy, commercialization, licensing, brand protection, and technology transactions
  • Excellent communication, judgment, leadership, and client management skills
