Description

Our client, a respected firm in Toronto, is seeking a Corporate Transactional Lawyer with 8+ years of experience to join its growing corporate and transactional law practice. This opportunity is ideal for a lawyer with strong experience in corporate transactions, mergers and acquisitions, share and asset purchase transactions, reorganizations, private company deals, transaction structuring, due diligence, and general business advisory work.

The successful candidate will advise a broad range of private companies, entrepreneurs, investors, founders, boards, and institutional clients on sophisticated transactional, operational, and strategic legal matters. This role is well suited to a lawyer who is confident leading complex deal work, maintaining strong client relationships, and delivering practical, business-focused legal advice in a fast-paced private practice environment.

Responsibilities
  • Advise clients on a broad range of corporate transactional matters, including mergers and acquisitions, share and asset purchases, reorganizations, divestitures, and related strategic transactions
  • Draft, review, and negotiate transaction documents, including purchase agreements, shareholder agreements, letters of intent, disclosure materials, ancillary closing documents, and related commercial agreements
  • Provide strategic legal advice on transaction structuring, due diligence, deal risk allocation, governance considerations, financing-related matters, and post-closing obligations
  • Lead and manage transaction files from opening through closing, including timelines, client communication, negotiation strategy, due diligence coordination, and management of internal and external stakeholders
  • Support clients on private company transactions, growth-stage business deals, ownership restructurings, and ongoing transactional legal needs
  • Work collaboratively with founders, executives, boards, accountants, financial advisors, and other legal professionals on complex corporate transactions
Qualifications
  • Called to the Bar in Ontario and in good standing with the Law Society of Ontario
  • Minimum 8 years of experience practicing in corporate law, mergers and acquisitions, transactional law, or related business law matters
  • Strong drafting and negotiation experience with purchase agreements, transaction documents, disclosure materials, and ancillary deal documentation
  • Experience advising on complex corporate transactions, reorganizations, due diligence, transaction structuring, and high-value business deals
  • Excellent communication, judgment, leadership, and client management skills
