Our client, a respected firm in Fort Lauderdale, is seeking a Corporate Lawyer with 6+ years of experience to join its growing corporate law practice. This opportunity is ideal for a lawyer with strong experience in corporate transactions, business structuring, mergers and acquisitions, share and asset purchase transactions, corporate governance, shareholder matters, and general business advisory work.
The successful candidate will advise a broad range of private companies, investors, entrepreneurs, owner-managed businesses, and commercial clients on day-to-day corporate matters, transactional work, governance issues, and strategic legal decisions. This role is well suited to a lawyer who is confident managing sophisticated files, maintaining strong client relationships, and delivering practical, business-focused legal advice in a fast-paced private practice environment.
- Advise clients on a broad range of corporate law matters, including incorporations, corporate structuring, reorganizations, governance, and shareholder matters
- Draft, review, and negotiate transactional and corporate documents, including shareholder agreements, purchase agreements, corporate resolutions, and ancillary business agreements
- Lead and support share and asset purchase transactions, mergers, acquisitions, and related due diligence processes
- Provide strategic legal advice to private companies, investors, and business owners on corporate risk, transaction structure, and business growth matters
- Manage files from opening through closing, including transaction timelines, client communication, document management, and coordination with external advisors
- Work collaboratively with internal teams and outside professionals on corporate, transactional, and business law matters
- Called to the Bar in Florida and in good standing with the applicable law society or bar association
- Minimum 6 years of experience practicing in corporate law
- Strong drafting and negotiation experience with transactional documents, shareholder agreements, and corporate governance materials
- Experience handling mergers and acquisitions, corporate structuring, governance, and business advisory matters
- Excellent communication, judgment, and client management skills in a sophisticated private practice environment
