Our client, a well-established firm in Orlando, is seeking a Corporate Commercial Lawyer with 5+ years of experience to join its growing corporate and commercial law practice. This opportunity is ideal for a lawyer with strong experience in corporate transactions, commercial agreements, business acquisitions, share and asset purchases, corporate structuring, governance, and general business advisory work.
The successful candidate will advise a broad range of private companies, owner-managed businesses, entrepreneurs, and commercial clients on day-to-day corporate matters, transactional work, contract review, and strategic business decisions. This role is well suited to a lawyer who is confident managing files independently, maintaining strong client relationships, and delivering practical, business-focused legal advice in a fast-paced private practice environment.
- Advise clients on a broad range of corporate and commercial law matters, including incorporations, corporate maintenance, governance, reorganizations, and business structuring
- Draft, review, and negotiate commercial agreements, including shareholder agreements, purchase agreements, service agreements, partnership agreements, and other business contracts
- Lead and support share and asset purchase transactions, mergers, acquisitions, and related due diligence processes
- Provide strategic legal advice to private companies, business owners, and commercial clients on commercial risk, transaction structure, and general business operations
- Manage files from opening through closing, including transaction timelines, client communication, document management, and coordination with external advisors
- Work collaboratively with internal teams and outside professionals on transactional, corporate, and commercial law matters
- Called to the Bar in Florida and in good standing with the applicable law society or bar association
- Minimum 5 years of experience practicing in corporate and commercial law
- Strong drafting and negotiation experience with commercial agreements and transactional documents
- Experience handling acquisitions, corporate structuring, governance, and general business advisory matters
- Excellent communication, client management, and file handling skills
