Description

Our client, a respected firm in Vancouver, is seeking an M&A Lawyer with 10+ years of experience to join its growing corporate transactions practice. This opportunity is ideal for a lawyer with strong experience in mergers and acquisitions, complex corporate transactions, share and asset deals, reorganizations, cross-border transactions, due diligence, transaction structuring, and strategic business advisory work.

The successful candidate will advise a broad range of private companies, founders, investors, boards, strategic buyers, and institutional clients on sophisticated transactional, operational, and strategic legal matters. This role is well suited to a lawyer who is confident leading complex deal work, maintaining strong client relationships, and delivering practical, business-focused legal advice in a fast-paced private practice environment.

Responsibilities
  • Advise clients on a broad range of mergers and acquisitions matters, including share purchases, asset purchases, divestitures, joint ventures, reorganizations, and related strategic transactions
  • Draft, review, and negotiate complex transaction documents, including purchase agreements, shareholder agreements, disclosure materials, letters of intent, ancillary closing documents, and related commercial agreements
  • Provide strategic legal advice on transaction structuring, due diligence, deal risk allocation, regulatory considerations, governance issues, and post-closing matters
  • Lead and manage transaction files from opening through closing, including timelines, client communication, negotiation strategy, due diligence coordination, and management of internal and external stakeholders
  • Support clients on cross-border transactions, private company deals, investor-backed transactions, and ongoing transactional legal needs
  • Work collaboratively with founders, executives, boards, financial advisors, accountants, and other legal professionals on complex M&A matters
Qualifications
  • Called to the Bar in British Columbia and in good standing with the Law Society of British Columbia
  • Minimum 10 years of experience practicing in mergers and acquisitions, corporate law, securities-adjacent transactional work, or related business law matters
  • Strong drafting and negotiation experience with purchase agreements, transaction documents, disclosure materials, and ancillary deal documentation
  • Experience advising on complex M&A transactions, reorganizations, due diligence, transaction structuring, and high-value business deals
  • Excellent communication, judgment, leadership, and client management skills

Experience

10+ years of relevant experience in mergers and acquisitions law, including experience with complex corporate transactions, share and asset deals, due diligence, reorganizations, transaction structuring, and strategic advisory work.

Education

J.D. or LL.B.
Called to the Bar in British Columbia and in good standing with the Law Society of British Columbia
