Description

Our client, a respected firm in Vancouver, is seeking a Corporate Commercial Lawyer with 6+ years of experience to join its growing corporate and commercial law practice. This opportunity is ideal for a lawyer with strong experience in corporate transactions, commercial agreements, business structuring, mergers and acquisitions, reorganizations, corporate governance, and general business advisory work.

The successful candidate will advise a broad range of private companies, entrepreneurs, owner-managed businesses, investors, and commercial clients on transactional, operational, and strategic legal matters. This role is well suited to a lawyer who is confident managing sophisticated files, maintaining strong client relationships, and delivering practical, business-focused legal advice in a fast-paced private practice environment.

Responsibilities
  • Advise clients on a broad range of corporate and commercial law matters, including incorporations, reorganizations, governance issues, commercial transactions, and day-to-day business advisory work
  • Draft, review, and negotiate corporate and commercial agreements, including share purchase agreements, asset purchase agreements, shareholder agreements, partnership agreements, service agreements, and general commercial contracts
  • Provide strategic legal advice on mergers and acquisitions, business structuring, due diligence, succession planning, financing matters, and corporate maintenance
  • Support clients with growth-related legal needs, operational agreements, governance matters, and commercial risk management
  • Manage files from opening through closing, including timelines, client communication, legal drafting, negotiation strategy, and coordination with internal and external stakeholders
  • Work collaboratively with business owners, executives, advisors, and other legal professionals on complex corporate and commercial matters
Qualifications
  • Called to the Bar in British Columbia and in good standing with the Law Society of British Columbia
  • Minimum 6 years of experience practicing in corporate law, commercial law, or related business law matters
  • Strong drafting and negotiation experience with transactional documents, corporate agreements, and commercial contracts
  • Experience advising on business structuring, mergers and acquisitions, reorganizations, governance, and general commercial legal matters
  • Excellent communication, judgment, and client management skills

Experience

6+ years of relevant experience in corporate and commercial law, including experience with corporate transactions, commercial agreements, reorganizations, governance matters, and general business advisory work.

Education

J.D. or LL.B.
Called to the Bar in British Columbia and in good standing with the Law Society of British Columbia
