Our client, a respected firm in Vancouver, is seeking a Corporate Commercial Lawyer with 6+ years of experience to join its growing corporate and commercial law practice. This opportunity is ideal for a lawyer with strong experience in corporate transactions, commercial agreements, business structuring, mergers and acquisitions, reorganizations, corporate governance, and general business advisory work.
The successful candidate will advise a broad range of private companies, entrepreneurs, owner-managed businesses, investors, and commercial clients on transactional, operational, and strategic legal matters. This role is well suited to a lawyer who is confident managing sophisticated files, maintaining strong client relationships, and delivering practical, business-focused legal advice in a fast-paced private practice environment.
- Advise clients on a broad range of corporate and commercial law matters, including incorporations, reorganizations, governance issues, commercial transactions, and day-to-day business advisory work
- Draft, review, and negotiate corporate and commercial agreements, including share purchase agreements, asset purchase agreements, shareholder agreements, partnership agreements, service agreements, and general commercial contracts
- Provide strategic legal advice on mergers and acquisitions, business structuring, due diligence, succession planning, financing matters, and corporate maintenance
- Support clients with growth-related legal needs, operational agreements, governance matters, and commercial risk management
- Manage files from opening through closing, including timelines, client communication, legal drafting, negotiation strategy, and coordination with internal and external stakeholders
- Work collaboratively with business owners, executives, advisors, and other legal professionals on complex corporate and commercial matters
- Called to the Bar in British Columbia and in good standing with the Law Society of British Columbia
- Minimum 6 years of experience practicing in corporate law, commercial law, or related business law matters
- Strong drafting and negotiation experience with transactional documents, corporate agreements, and commercial contracts
- Experience advising on business structuring, mergers and acquisitions, reorganizations, governance, and general commercial legal matters
- Excellent communication, judgment, and client management skills
