Our client, a respected firm in Edmonton, is seeking a Corporate Commercial Lawyer with 6+ years of experience to join its growing corporate and commercial law practice. This opportunity is ideal for a lawyer with strong experience in corporate transactions, commercial agreements, business acquisitions, share and asset purchases, corporate reorganizations, shareholder matters, and general business advisory work.
The successful candidate will advise a broad range of private companies, owner-managed businesses, entrepreneurs, and commercial clients on transactional, operational, and strategic legal matters. This role is well suited to a lawyer who is confident managing files independently, maintaining strong client relationships, and delivering practical, business-focused legal advice in a fast-paced private practice environment.
- Advise clients on a wide range of corporate and commercial law matters, including incorporations, reorganizations, governance, and ongoing business advisory work
- Draft, review, and negotiate commercial agreements, including shareholder agreements, purchase agreements, service agreements, partnership agreements, and other business contracts
- Lead and support share and asset purchase transactions, mergers, acquisitions, and related due diligence processes
- Provide strategic legal advice to private companies, owner-managed businesses, and commercial clients on business structure, commercial risk, and transaction strategy
- Manage files from opening through closing, including timelines, client communication, documentation, and coordination with external advisors
- Work collaboratively with internal teams and outside professionals on transactional, commercial, and business law matters
- Called to the Bar in Alberta and in good standing with the applicable law society
- Minimum 6 years of experience practicing in corporate and commercial law
- Strong drafting and negotiation experience with commercial agreements and transactional documents
- Experience handling acquisitions, corporate reorganizations, incorporations, and general advisory matters
- Excellent communication, client management, and file handling skills
